Director, Associate General Counsel, Corporate and Securities
Sprout Social is looking to hire a Director, Associate General Counsel, Corporate and Securities to join our Legal team.
What you’ll do
- Lead and manage Sprout Social’s public company securities compliance and corporate governance functions, including preparation and review of SEC filings (Forms 10-K, 10-Q, 8-K, Proxy Statements, registration statements, and Section 16 filings).
- Serve as a key partner to the General Counsel and executive leadership in managing the corporate governance lifecycle. This includes the end-to-end preparation of materials for Board of Directors and Committee meetings, ensuring all draft resolutions, meeting minutes, and legal briefings are precise and compliant. You will translate complex legal and operational data into high-impact presentation decks that facilitate informed decision-making.
- Oversee legal support for Sprout's equity compensation programs, including stock option plans, RSU grants, and the Employee Stock Purchase Plan (ESPP). Advise on plan design, grant administration, and participant communications. Ensure compliance with Rule 144, Section 16 reporting, 10b5-1 trading plan requirements, and insider trading policies.
- Partner with People Operations, Payroll, and Finance to address international equity compensation matters, including tax withholding, securities law exemptions, and country-specific regulatory requirements for equity awards to non-U.S. employees.
- Managing executive trading plans, pre-clearance processes, and trading windows related to insider trading policy oversight.
- Oversee legal support for M&A, capital markets, and other strategic initiatives partnering closely with the Corporate Development team.
- Partner with Finance and Investor Relations on disclosure obligations, quarterly earnings releases, investor communications, and related governance matters.
- Manage proxy advisory firm relations (ISS, Glass Lewis), responding to shareholder proposals, and activism preparedness (if relevant to Sprout's profile).
- Advise on compliance, enterprise risk, and sustainability/ESG matters, including chairing the sustainability committee.
- Manage and mentor a paralegal resource, serve as an escalation point for complex matters, and oversee outside counsel relationships to ensure efficient, high-quality legal support.
What you’ll bring
The minimum qualifications for this role include:
- Juris Doctorate degree
- Active membership in good standing with the U.S. State Bar
- 10+ years of experience in corporate and securities law, including significant in-house public company reporting and governance experience
- 3+ years experience of people management experience, including coaching and career development
- Deep understanding of corporate governance, public company disclosure, and SEC/Nasdaq rules and regulations
- Comfort working on a lean legal team environment with a willingness to take on matters outside your core expertise, learn new areas of law, and pitch in where needed to support the business
- Strong business and legal judgment with the ability to make sound, risk-based decisions
Preferred qualifications for this role include:
- Prior in-house experience at a B2B SaaS company
- Prior M&A experience
- Experience advising senior executives and boards of directors
- Experience with proxy advisory firms and shareholder engagement
- Familiarity with emerging legal issues related to generative AI, open source, and technology-driven products
- Excellent written and verbal communication skills
How you’ll grow Within 1 month, you’ll plant your roots, including:
- Completing Sprout Social’s onboarding and gaining a deep understanding of our business model, products, and risk profile.
- Building strong working relationships with the General Counsel, Legal team, and key cross-functional partners across Finance, Investor Relations, Corporate Development and People.
- Familiarizing yourself with Sprout’s public company reporting cadence, governance structure, disclosure controls, and existing policies and procedures.
- Meeting with Total Rewards and Equity Administration teams to understand Sprout's equity compensation programs, grant cycles, and current processes for Section 16 filings, Rule 144 compliance, and 10b5-1 trading plans. Within 3 months, you’ll start hitting your stride by:
- Independently owning core securities and governance responsibilities, including contributing meaningfully to SEC filings, earnings-related disclosures, and board materials.
- Serving as a trusted advisor to business partners on corporate governance, disclosure, and risk-related questions.
- Effectively managing and mentoring your direct report(s), providing guidance and acting as an escalation point for complex legal matters.
- Supporting or independently managing Section 16 filings and 10b5-1 trading plan reviews.
- Gaining familiarity with Sprout's international employee footprint and related equity compensation considerations.
- Demonstrating flexibility by engaging with legal matters beyond your core securities expertise as team needs arise. Within 6 months, you’ll be making a clear impact through:
- Leading major public company workstreams such as SEC filings, earnings cycles, board material preparation, or significant governance initiatives.
- Driving legal support for strategic initiatives, including M&A activity, or cross-functional projects involving Finance, IR, Corp Dev or People.
- Identifying opportunities to improve or scale governance, disclosure, and compliance processes to better support a growing public company.
- Independently managing equity compensation legal support, including grant cycles, ESPP offering periods, trading window administration, and Rule 144 compliance.
- Advising on international equity matters and coordinating with outside counsel on country-specific requirements. Within 12 months, you’ll make this role your own by:
- Operating as a key strategic partner to the General Counsel, Senior Director, Financial Reporting and Technical Accounting and Vice President, Investor Relations and Corporate Development on corporate, securities, and governance matters.
- Shaping the evolution of Sprout’s corporate governance, disclosure practices, and risk management approach as the business grows.
- Helping define the future direction of the Legal team through leadership, mentorship, and continuous improvement of how Legal supports the business.
