We are seeking a highly motivated and experienced Senior Associate – Mergers & Acquisitions (M&A) to join our legal team. The ideal candidate will have strong experience handling complex investment and restructuring transactions and will be capable of managing matters independently while maintaining high standards of client service. This role requires a professional who is confident, responsive, and capable of working directly with clients while delivering high-quality legal advice and transaction support.
Key Responsibilities
- Lead and manage investment, restructuring, and M&A transactions from inception through completion with minimal supervision.
- Draft, review, and negotiate a wide range of transactional documents, including term sheets, share purchase agreements, shareholder agreements, investment agreements, and restructuring documentation.
- Conduct and supervise legal due diligence, identify potential risks, and provide practical recommendations to clients.
- Provide strategic legal advice on corporate structuring, investment frameworks, and restructuring strategies.
- Coordinate with internal teams and external stakeholders to ensure efficient execution of transactions.
- Work closely with partners and senior leadership on complex assignments and high-value deals.
- Manage client relationships, respond promptly to client queries, and ensure a high level of responsiveness throughout the engagement.
- Support negotiations with counterparties and advisors while protecting the client’s legal and commercial interests.
- Ensure timely completion of tasks with a strong sense of urgency and attention to detail.
- Mentor junior associates and support knowledge development within the team where required.
Required Experience & Background
- 5–9 years of relevant experience in corporate law with a strong focus on M&A, private equity, investment transactions, and corporate restructuring.
- The candidate should have at least 6–7 years of experience independently handling investment and restructuring transactions.
- Prior experience working with a prominent or well-recognized law firm is strongly preferred.
- Demonstrated ability to manage transactions end-to-end and coordinate with multiple stakeholders.
- Strong exposure to transaction structuring, negotiations, and documentation.
